3.1 Remoteli grants Users a limited, revocable license to access and use the Platform in accordance with these Terms.

3.2 You may not use the Platform for any purpose that is unlawful or prohibited by these Terms.

3.3 Users may not engage in scraping, data harvesting, or automated access to the Platform.

3.4 We may modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.

3.5 We do not guarantee that the Platform will be free from defects, secure, or continuously available.

3.6 Users are responsible for ensuring that use of the Platform complies with all applicable laws and regulations in their jurisdiction.

4. Subscriptions & Hiring

4.1 A Subscription provides dedicated, full-time Talent, described as 180 working hours per month. The standard working pattern is 8 hours per day, 5 days per week, during the working hours agreed at the point of order. The availability of Talent is subject to this standard working pattern, annual leave, public holidays and approved absence.

4.2 Clients are responsible for providing sufficient tasks and oversight to ensure that hours are utilised. Unused hours do not roll over.

4.3 The Subscription commences on the agreed onboarding date, following successful payment, and renews automatically each month unless cancelled in accordance with Clause 7.

4.4 Clients may request a change in assigned Talent. Remoteli will select a suitable replacement within two full business days (Monday to Friday, excluding UK public holidays) following the Client's request, provided that Remoteli is able to carry out its normal selection and vetting process without delay caused by the Client, such as delayed feedback or approvals, additional selection stages, or requirements that differ materially from the original order. The replacement's start date will depend on onboarding arrangements. Prior work will not be refunded. If a suitable replacement cannot be provided within 14 calendar days, the refund provisions of Clause 6.8 apply.

4.5 Talent are entitled to 21 days of annual leave per year and standard sick leave. This is factored into the monthly Subscription pricing. No refunds apply for these absences. Standard Subscriptions do not include automatic cover while Talent are on annual leave. In the event of long-term illness, Remoteli will provide a suitable replacement at no additional cost.

4.6 All Talent observe UK public holidays as standard. No substitutions or refunds apply for these dates. However, flexible arrangements may be considered upon request and subject to availability and operational feasibility. Both Clients and Talent may submit such requests to Remoteli in advance for approval.

4.7 Subscriptions are non-transferable and apply to the Client named at the point of order.

4.8 The role, experience level, location and working arrangements of each Talent are as agreed with the Client at the point of order.

4.9 Overtime, additional hours, night or weekend work, work on public holidays and unusual shift patterns are not included in a standard Subscription. Any such arrangement must be requested through Remoteli's Operations or Customer Experience team and may only be agreed through Remoteli, not directly between the Client and Talent. Not all requests can be accommodated. Where additional hours are agreed in advance, they may be recognised through time off in lieu or charged on a pro-rated basis, as agreed with Remoteli.

5. Recruitment & Onboarding

5.1 Remoteli recruits and proposes Talent based on the Client's agreed requirements. Depending on the role, the recruitment process may include screening, skills assessments, interviews with Remoteli's in-house recruitment team where appropriate, and reference checks.

5.2 Remoteli provides onboarding and ongoing operational and client support throughout the Subscription.

6. Payments, Fees & Invoicing

6.1 Clients must make payments using an authorised payment method. All amounts are due in advance unless otherwise agreed.

6.2 Subscription payments recur monthly and are non-refundable unless required by law.

6.3 No setup or onboarding fee is charged in addition to the Subscription fee unless otherwise agreed.

6.4 Fees are quoted in GBP/USD/EUR unless another currency is agreed. Exchange rates may fluctuate.

6.5 Service Fees cover the use of the Platform, tools, compliance, vetting, training, and support services, and are included in Subscription fees.

6.6 Clients are responsible for taxes, levies, or charges that may apply to payments.

6.7 Late or failed payments may result in service suspension, interest charges, or recovery proceedings.

6.8 The first month’s Subscription payment is taken in advance to secure the selected Talent. If the chosen Talent declines the role or is unavailable, the payment is transferrable to another Talent of equivalent experience and within the same location. Should a more senior or higher-cost Talent be selected, the Client agrees to pay the price difference. Refunds are only offered if no suitable alternative candidate can be sourced within 14 calendar days.

6.9 The Subscription fee for each Talent is the price agreed or displayed at the point of order, which may vary by role, experience level, location, currency and requirements.

6.10 All fees are exclusive of VAT, which will be added where applicable.

7. Cancellation & Termination

7.1 Clients may cancel Subscriptions by emailing hello@remoteli.co.uk at any time. Cancellation will take effect after the next full billing cycle, regardless of when the notice is given. For example, if notice is received one day or two weeks prior to renewal, one final monthly payment will still be required.

7.2 The final active Subscription month will remain billable in full, and Talent will remain available to the Client during this period. It is the Client’s discretion whether to assign tasks; however, no refund or credit will be provided for unused time unless expressly agreed by Remoteli as a goodwill gesture.

7.3 Any request by Talent to end an Engagement is managed by Remoteli under its own arrangements with Talent. Remoteli will arrange a replacement in accordance with Clause 4.4.

7.4 Remoteli may suspend or terminate the provision of its services for violations of these Terms or any behaviour we deem harmful to the Platform.

7.5 Upon termination, all outstanding fees remain payable, and Client data may be archived or deleted after 180 days, subject to legal retention requirements.

8. Talent Data & Profile Protection

8.1 Talent profiles shared with Clients may include professional bios, experience, skills, and sample work.

8.2 Personal information such as surnames, emails, phone numbers, and home addresses will never be made publicly available.

10.3 Any attempt to circumvent Remoteli by engaging directly with Talent will incur a minimum penalty of £15,000 per individual, representing lost revenue, administrative investment, and damages. This amount may be increased based on the Talent’s expected contract value. Remoteli reserves the right to pursue full legal remedies in the event of unauthorised engagement.

10.4 Remoteli's arrangements with Talent prohibit Talent from accepting or soliciting direct offers from Clients outside Remoteli during any Engagement and for 24 months thereafter.

10.5 Users must report any solicitation or circumvention attempt immediately. Failure to do so may result in suspension of services.
